The 45nm Core2 Quad matches the 45nm Phenom II in clock for clock performance.
What that means, is both those chips at the same speed will match each other in performance (one will slightly win on some test, and vice-versa). So "upgrading" to that chip will give you little performance upgrade, and would be a waste of money.
Your chip is a socket 775 chip, the AMD will in on way fit on your board at all.
