Upgrade to a full sized (am3) motherboard, moved from DDR2-800 to DDR3-1066 or 1333, move from the AthlonIIx4 to the PhenomIIx4 (the Athlon is missing all its L3 cache, so is a neutered PhenomII), and a better performing hard drive (western digital 640gb). That would be about ~150.

Then I would also ditch the copy of windows, and try to get it for free/cheaper, and use that money for a better case (and power supply if you had the money). If you buy a nice case, you will use it over and over, so its worth the money, and your computer will run better and cooler.

If money was really tight, but you wanted to upgrade, I would buy every thing I listed above (better psu, hard drive, memory, case, powersupply), then buy the new AM3-8 series AMD boards, with USB3.0 and SATA6.0, but then buy a really cheap am3 processor, and upgrade it to a 6 core chip in the future (am3 is 6 core ready).

By the way, you can use that above board to unlock a 2 or 3 core Phenom II to a true 4 core (they are 4 cores, they just disable some, to sell cheap). So $100 quad phenom 2 (after unlock):
